Terms of Service & Commercial Conditions

Welcome to Gate Opener Factory / HEIXIONG Gate Automation ("we," "our," or "us"). By accessing our digital portals, downloading technical documentation, submitting requests for quotation (RFQs), issuing purchase orders, or contracting for automated perimeter systems, you ("Client," "Customer," or "Buyer") agree to be legally bound by these Terms of Service.

Our operations are headquartered at Building 7, Dahe Industrial Zone, Guanhu Street, Longhua District, Shenzhen, Guangdong Province, China. We operate strictly as an international commercial manufacturer, OEM/ODM supplier, and exporter of heavy-duty gate automation hardware.

If you are accepting these terms on behalf of a corporation, partnership, housing society, or government entity, you represent and warrant that you possess full legal authority to bind that organization.

Commercial Commitment: All equipment manufactured and distributed by Gate Opener Factory is subject to standardized factory quality control, ISO 9001 certification, and international B2B export standards.

We strive to maintain exact precision across all published catalog dimensions, motor power ratings, cycle duty ratings, and wiring schematics. However, due to continuous engineering enhancements and custom modifications:

• Technical Parameter Modifications: Motor wattage, linear speed, gear ratios, and chassis dimensions are subject to minor engineering refinements without prior notice, provided performance is equal or superior.
• Commercial Quotation Validity: Official proforma invoices and price quotes issued by our sales engineering team remain valid for thirty (30) calendar days from the date of issuance, unless otherwise explicitly stated in writing.
• CAD & Schematic Integrity: Dimensional drawings, foundation mounting templates, and wiring diagrams provided on our site or via PDF download are intended as engineering guides. Professional site installation requires verification by qualified technicians.

For custom manufacturing, private labeling, brand color matching, or specific voltage/frequency configurations (AC 110V/220V, DC 24V, 50Hz/60Hz):

• Purchase Order Binding: A purchase order or written proforma confirmation constitutes a binding commercial agreement once deposit payment is confirmed by our treasury team.
• OEM / Private Label Approval: Artwork proofs for customized logos, remote control branding, and serial numbering must be signed off in writing prior to factory production runs.
• Order Revisions & Cancellations: Orders canceled after raw material allocation or production commencement may incur restocking or tooling cancellation fees up to the deposit amount.

All commercial transactions are governed by the financial terms established in the relevant proforma invoice:

• Currency Standard: Quotes and invoices are issued in United States Dollars (USD) or Renminbi (RMB) unless alternative currency arrangements (EUR, AED, SAR) are agreed in writing.
• Payment Methods: Accepted payment channels include Wire Transfer (T/T), Irrevocable Commercial Letter of Credit (L/C at sight for qualifying order volumes), and approved corporate payment gateways.
• Taxes & Import Duties: Unless an explicit DDP (Delivered Duty Paid) Incoterm is contracted, the Buyer is responsible for all local import customs duties, tariffs, VAT, and port clearance charges in the destination country.

Shipping terms and delivery timelines are defined under International Commercial Terms (Incoterms 2020):

• Incoterm Classifications: Orders default to EXW (Ex-Works Shenzhen) or FOB (Free On Board Shenzhen Port) unless CIF, CFR, or DDP terms are specified on the proforma invoice.
• Transit Timelines: Estimated shipping schedules provided by sea, air, or rail freight carriers are target estimates. We are not liable for shipping delays caused by customs inspections, port congestion, weather events, or carrier re-routing.
• Cargo Risk & Freight Inspection: Risk of loss transfers to the Buyer according to the applicable Incoterm. Consignees must inspect crate integrity upon delivery and log any transit damage with the carrier immediately.

All software firmware, control board schematics, website design elements, product photography, 3D renderings, catalog copy, and registered trademarks (including HEIXIONG and Open Bear) are the exclusive intellectual property of Gate Opener Factory.

Clients are granted a non-exclusive, non-transferable license to utilize product schematics, installation manuals, and marketing imagery solely for the promotion, installation, and maintenance of genuine Gate Opener Factory equipment.

We stand behind the engineering of every gate operator leaving our Shenzhen factory:

• Standard Warranty Period: All complete motor units, gearboxes, and main control boards carry a minimum 24-month factory warranty against manufacturing defects from the date of bill of lading (B/L).
• Warranty Exclusions: Warranty does not cover damages resulting from incorrect wiring, improper power supply surges, physical vehicle collision, natural disasters (floods, lightning strikes), or unauthorized component modification.
• Replacement Parts Guarantee: We maintain long-term availability of spare gears, limit switches, control boards, and remote transmitters for at least 7 years post-discontinuation of any model series.

Automated gate operators are powerful mechanical machines capable of exerting significant thrust force. Buyers and site installers must comply with international perimeter safety standards (such as EN 12453, UL 325, and ISO 13849):

• Safety Devices Requirement: Infrared photocells, safety rubber edges, warning strobe lights, and obstruction detection sensitivity MUST be properly installed and tested.
• Certified Technician Installation: Physical mounting and electrical connection must be executed by qualified electrician personnel adhering to local electrical and structural codes.

To the maximum extent permitted by applicable law, Gate Opener Factory shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, facility downtime, or secondary property damage arising from equipment usage or failure.

Our total aggregate liability under any legal claim arising from a transaction shall not exceed the net purchase price paid by the Buyer for the specific product unit giving rise to the claim.

We respect the commercial privacy of our property developer, integrator, and OEM partners. Architectural drawings, unreleased product designs, master pricing schedules, and private tender documents disclosed during commercial discussions are treated as strictly confidential and protected against unauthorized third-party disclosure.

These Terms of Service and all associated commercial supply contracts shall be governed by and construed in accordance with the laws of the People's Republic of China, without giving effect to conflicts of law principles.

Any commercial dispute or claim arising out of or in connection with supply agreements shall be submitted to the Shenzhen Court of International Arbitration (SCIA) for final and binding arbitration in accordance with its prevailing rules.

We reserve the right to update these Terms of Service periodically to reflect changes in international trade laws, manufacturing standards, or operational procedures. Revised terms take effect upon publication to this URL.
